1. Acceptance of Dentist Finder’s Terms

Dentist Finder’s terms & data handling (“Dentist Finder’s Terms”) constitute a legal agreement and are entered into by and between you and KK TECHNOLOGIES INC., its subsidiaries, affiliates, and related entities carrying on business under the name “Dentist Finder” (collectively, “we,” “us,” or “Dentist Finder”).

The following Dentist Finder’s Terms, together with any documents and/or additional terms they expressly incorporate by reference (collectively, these "Terms of Service"), govern your access to and use of and use of the services offered through Dentist Finder (“Dentist Finder’s Services”).

IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS OR THE PRIVACY POLICY, YOU MUST NOT ACCESS DENTIST FINDER’S SERVICES.

By clicking to accept Dentist Finder’s Terms, you represent and warrant that you are of the legal age of majority under applicable law to form a binding contract with Dentist Finder and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access Dentist Finder’s Services.

2. Modifications to Dentist Finder’s Terms and to Dentist Finder’s Services

We reserve the right in our sole discretion to revise and update Dentist Finder’s Terms from time to time. Any and all such modifications are effective immediately upon posting and apply to all access to and continued use of Dentist Finder’s Services. You agree to periodically review Dentist Finder’s Terms in order to be aware of any such modifications and your continued use shall be your acceptance of these.

3. Scope and Overview

Dentist Finder is committed to protecting the privacy and security of all personal information and health information processed in relation to Dentist Finder’s Services. Dentist Finder’s Terms describe how Dentist Finder collects, uses, discloses, and safeguards personal information and health information in connection with Dentist Finder’s Services, including through the use of third-party software systems.

Dentist Finder’s Terms apply to personal information and health information as defined under British Columbia’s Personal Information Protection Act (PIPA BC), Alberta’s Personal Information Protection Act (PIPA AB) and Health Information Act (HIA), and Canada’s federal private-sector privacy law, the Personal Information Protection and Electronic Documents Act (PIPEDA), where applicable (collectively, “Privacy Laws”).

If you are located in Ontario, or where services involve the handling of personal information or Personal Health Information of Ontario residents, the terms of Schedule “A”: Ontario Privacy, Health Information & PIPEDA Addendum apply and modify this Agreement accordingly.

4. Collection of Personal and Health Information

Dentist Finder may collect personal information and health information from you directly, from individuals authorized by you, or from third-party sources as permitted by law. Dentist Finder will collect personal information only for purposes that a reasonable person would consider appropriate in the circumstances, as required under Privacy Laws. Information may be collected through our systems or through SIKKA, a third-party software platform used by Dentist Finder for the collection, storage, and processing of all data related to the services we provide.

Information collected may include:

Personal Information that identifies an individual and is not inherently medical in nature:

  • Personal contact details (e.g., name, address, phone number, email)
  • Employment related information
  • Information contained in forms, assessments, or documentation that is non-medical in nature
  • Information collected during consultations or service interactions that is non-medical in nature
  • Information required to fulfill regulatory, contractual, or reporting obligations when not related to health
  • Information related to previous interactions or service history with Dentist Finder when not related to health

Information about an individual’s physical or mental health, health services, or health insurance:

  • Health insurance information
  • Health information required for service delivery or appointment coordination
  • Information contained in forms, assessments, or documentation provided by you, or individuals authorized by you, that includes medical or dental details
  • Information collected during consultations or service interactions that includes medical or dental details
  • Information required to fulfill regulatory, contractual, or reporting obligations when related to health services
  • Information related to previous interactions or service history with Dentist Finder when it includes health-related details

5. Use of Personal and Health Information

We use personal information only as permitted or required under Privacy Laws and solely for purposes reasonably necessary to provide services to you. These purposes include:

  • Facilitating, coordinating, and managing appointment bookings and related communications
  • Delivering, administering, and improving non-clinical aspects of contracted services
  • Verifying information and conducting administrative assessments necessary for service delivery
  • Communicating with you or your authorized representatives
  • Maintaining administrative and business records related to service provision
  • Meeting legal or regulatory obligations applicable to business operations
  • Preparing required business, contractual, or operational reports
  • Ensuring safety, compliance, and quality assurance in relation to business processes
  • Protecting the rights, property, and safety of Dentist Finder, you, or others, as permitted by law

We use health information only as authorized under Privacy Laws and solely for purposes directly related to the provision, coordination, or management of health services for individuals. These purposes include:

  • Facilitating, coordinating, and managing appointment bookings that require access to clinical or health-related details
  • Delivering, administering, and improving health-service-related components of contracted services
  • Verifying information and conducting clinical or health-related assessments necessary for service delivery
  • Maintaining health-service records as required by you or applicable health legislation
  • Meeting health-related legal, regulatory, or reporting obligations
  • Preparing required health-service documentation or reports
  • Ensuring clinical safety, compliance, and quality assurance
  • Protecting the health-related rights, safety, and well-being of individuals, you, or others, as permitted by law

Dentist Finder collects limited treatment and payment information, including services planned, services completed, associated costs, and method of payment to evaluate the financial performance of its services. This information is used solely to assess treatment acceptance, revenue generation, and overall return on investment (ROI) from your perspective.

We will only use information for the purposes for which it was collected unless we provide notice and obtain consent where required by law.

6. Use of Third Party Software (SIKKA)

To support the collection, storage, and processing of personal information and health information, Dentist Finder engages SIKKA as an independent third-party service provider.

Once transferred to SIKKA, the personal and health information is stored and processed within SIKKA’s systems, which may be hosted on servers located inside or outside Alberta or Canada. SIKKA is solely responsible for the security, handling, and processing of information within its custody and control.

  • Dentist Finder requires SIKKA, through contractual agreement, to:
  • Maintain appropriate physical, technical, and organizational safeguards
  • Protect personal and health information in accordance with applicable privacy laws
  • Use the information only for the limited purposes authorized by Dentist Finder
  • Refrain from disclosing information except as required by law or as expressly authorized

Dentist Finder’s responsibility is limited to ensuring that SIKKA, as a service provider, offers a level of protection for personal information that is comparable to that required under Privacy Laws at the time of transfer. The obligations of SIKKA with respect to the collection, use, disclosure, storage, and protection of personal health information are governed by the terms of the HIPAA Business Associate Agreement provided by SIKKA (the “Business Associate Agreement”), the receipt and review of which are hereby acknowledged. SIKKA’s responsibilities, safeguards, permitted uses, breach notification duties, and all other privacy and security obligations shall be as set out in that Business Associate Agreement and are incorporated by reference into these Terms of Service. Once the information is transferred, SIKKA is independently responsible for its ongoing protection, management, and compliance with applicable privacy obligations.

7. Data Sharing

We disclose personal information and health information only as permitted by law and only to parties who require access to support service delivery to the extent required to support service delivery. This includes:

  • Employees, contractors, or agents of Dentist Finder
  • SIKKA, for the purposes of securely collecting, storing, and processing data
  • Other third-party service providers acting on our behalf
  • Regulatory bodies or authorities where required by law
  • Emergency services where necessary to protect health or safety
  • Other entities as authorized by you or as required by applicable law

All third-party service providers are contractually required to implement appropriate security measures and may only use the information for purposes specified by Dentist Finder.

8. Cross-Border Data Transfers

Where permitted by law, personal information and health information may be transferred outside Alberta or Canada for processing, including through SIKKA’s systems. Such jurisdictions may not provide the same level of privacy protection as Alberta.

Information transferred outside Alberta may be subject to lawful access requests by foreign governments or law enforcement agencies.

9. Data Security

We implement physical, technical, and organizational safeguards designed to protect personal information and health information from unauthorized access, use, alteration, disclosure, or loss. Access is limited to individuals with a legitimate business need.

SIKKA is required to maintain comparable safeguards.

10. Privacy Breach Notification

Dentist Finder will report to the Office of the Privacy Commissioner of Canada any breach of security safeguards involving personal information that poses a real risk of significant harm. Dentist Finder will also notify affected individuals and maintain records of all breaches for a minimum of 24 months, as required under Privacy Laws.

11. Data Retention

We retain personal information and health information only as long as necessary to fulfill the purposes for which it was collected, or as required by law, or regulation.

We may anonymize information so that it can no longer be associated with an identifiable individual. Anonymized data may be used for any legitimate business purpose.

Upon termination of services, information will be retained or securely destroyed in accordance with our retention policies and applicable laws.

12. Rights of Access, Correction, and Withdrawal

You and individuals whose information you have provided to us may request access to, correction of, or withdrawal of consent for the use of personal information or health information, subject to legal and contractual limitations.

We may require additional information to verify identity and authority before responding.

13. Right to Withdraw Consent

Where consent is required for the collection, use, or disclosure of information, you may withdraw consent by contacting us at: info@dentistfinder.ai. Withdrawal may affect our ability to provide certain services, including appointment booking.

15. Challenging Compliance

Individuals may challenge Dentist Finder’s compliance with Privacy Laws by submitting a written request. Dentist Finder will investigate all complaints and respond in accordance with requirements under Privacy Laws.

SCHEDULE "A"

ONTARIO PRIVACY, HEALTH INFORMATION & PIPEDA ADDENDUM

(Modifier to Dentist Finder’s Terms)

This Ontario Schedule (“Schedule”) supplements and modifies Dentist Finder’s Terms where you are located in Ontario or where services involve the handling of Personal Health Information (“PHI”) or personal information of individuals located in Ontario.

This Schedule is intended to ensure compliance with:

  • Ontario’s Personal Health Information Protection Act, 2004 (“PHIPA”)
  • O. Reg. 329/04 (General Regulation under PHIPA)
  • Ontario’s applicable privacy statutes governing personal information
  • Canada’s Personal Information Protection and Electronic Documents Act (“PIPEDA”), where applicable

This Schedule applies only to the collection, use, disclosure, storage, retention, and destruction of PHI and personal information handled in connection with services delivered in Ontario

1. Ontario-Specific Definitions

This section modifies Section 3 (Scope and Overview) of Dentist Finder’s Terms by adding definitions, including Ontario-specific definitions required under PHIPA.

1.1 “Agent”: means a person or organization that acts for or on behalf of a HIC and is authorized to collect, use, disclose, retain, or dispose of PHI on the HIC’s behalf.

1.2 “Electronic Service Provider”: : means a person or entity that supplies electronic services to a HIC, including storage, processing, or enabling the HIC to collect, use, modify, disclose, retain, or dispose of PHI.

1.3 “Health Information Custodian” or “HIC”: has the meaning set out in PHIPA and includes regulated health professionals, health service providers, and organizations designated under PHIPA.

1.4 “Information Practices”: means the policies, procedures, and safeguards a HIC is required to maintain under PHIPA.

1.5 “Parties”: means you, your subsidiaries, affiliates, related entities and individuals authorized by you and Dentist Finder (collectivity the Parties and individual each a “Party”).

1.6 “Personal Health Information” or “PHI”: has the meaning set out in PHIPA and includes identifying information relating to an individual’s physical or mental health, health history, care, or payment for care.

2. Roles and Responsibilities Under PHIPA

This section replaces Section 5 (Use of Personal and Health Information) of Dentist Finder’s Terms with respect to PHI handled in Ontario.

2.1 Custodian and Agent Relationship

Where one Party is a HIC under PHIPA , the other Party is deemed an Agent when handling PHI on behalf of the HIC (the “Agent Party’).

2.2 Agent Obligations

The Agent Party agrees to:

  • Collect, use, disclose, retain, and dispose of PHI only as permitted by the HIC.
  • Comply with the HIC’s information practices, policies, and instructions.
  • Protect PHI in accordance with PHIPA and this Schedule.
  • Not use PHI for its own purposes unless expressly permitted by PHIPA or the HIC.
  • Immediately notify the HIC of any suspected or actual breach.

2.3 No Transfer of Custodianship

Nothing in this Schedule transfers custodianship of PHI.

3. Collection, Use, and Disclosure of PHI in Ontario

This section modifies Section 4 (Collection of Personal and Health Information) and Section 5 (Use of Personal and Health Information) of Dentist Finder’s Terms for PHI handled in Ontario.

The Parties agree that PHI may be collected, used, or disclosed only for:

  • Facilitating, coordinating, and managing appointment bookings
  • Delivering services under Dentist Finder’s Terms
  • Communicating with authorized representatives
  • Meeting legal, regulatory, or reporting obligations
  • Ensuring safety, compliance, and quality assurance
  • Any additional purposes authorized in writing by the HIC

No Party shall collect, use, or disclose PHI for any other purpose unless permitted by PHIPA or authorized by the HIC.

Dentist Finder collects limited treatment and payment information, including services planned, services completed, associated costs, and method of payment to evaluate the financial performance of its services. This information is used solely to assess treatment acceptance, revenue generation, and overall return on investment (ROI) from Dentist Finder’s perspective.

4. Use of Third-Party Software (SIKKA) in Ontario

This section modifies Section 6 (Use of Third-Party Software) of Dentist Finder’s Terms with respect to PHI handled in Ontario.

4.1 Electronic Service Provider Status

SIKKA is acknowledged as an Electronic Service Provider under PHIPA.

4.2 Obligations of SIKKA

The Parties acknowledge and agree that the obligations of SIKKA with respect to the collection, use, disclosure, storage, and protection of personal health information are governed by the terms of the Business Associate Agreement the receipt and review of which are hereby acknowledged. SIKKA’s responsibilities, safeguards, permitted uses, breach notification duties, and all other privacy and security obligations shall be as set out in that Business Associate Agreement and are incorporated by reference into these Terms of Service.

5. Cross-Border Storage and Processing

This section modifies Section 8 (Cross-Border Data Transfers) of Dentist Finder’s Terms for PHI handled in Ontario.

PHIPA permits PHI to be stored or accessed outside Ontario if appropriate safeguards are in place.

Where PHI is transferred or stored outside Ontario (including through SIKKA):

  • The Parties will ensure contractual protections consistent with PHIPA.
  • Individuals will be notified where required by law.
  • The HIC remains responsible for PHI handled by its Agents.

6. Individual Rights Under PHIPA

This section modifies Section 12 (Rights of Access, Correction, and Withdrawal) of Dentist Finder’s Terms for PHI handled in Ontario.

You agree to support Dentist Finder in fulfilling individual rights under PHIPA, including:

  • Right to be informed of purposes of collection, use, and disclosure
  • Right to access PHI
  • Right to request correction of PHI
  • Right to withdraw consent, subject to legal limitations
  • Right to be notified of breaches involving their PHI

Requests must be responded to within the timelines required by PHIPA.

7. Breach Management and Reporting

This section replaces Section 9 (Data Security) and Section 12 (Rights of Access, Correction, and Withdrawal) of Dentist Finder’s Terms with respect to breach notification obligations for PHI handled in Ontario.

7.1 Mandatory Notification

Each Party must notify the other Party immediately of any:

  • Loss of PHI
  • Unauthorized access, use, or disclosure
  • Theft of PHI
  • Breach of security safeguards
  • Pattern of similar breaches

7.2 Reporting to the Information and Privacy Commissioner of Ontario

Where required by PHIPA, the HIC must report the breach to the Information and Privacy Commissioner of Ontario (the   “IPC”).

The Agent Party must support the HIC in preparing and submitting such reports.

8. Retention and Destruction of PHI

This section modifies Section 11 (Data Retention) of Dentist Finder’s Terms for PHI handled in Ontario.

8.1 Minimum Retention Period

PHI must be retained for at least one year after last use, as required by PHIPA.

8.2 Secure Destruction

Upon termination of services or upon written instruction from the HIC:

  • PHI must be securely destroyed
  • Destruction must be documented
  • The Agent must comply with the HIC’s destruction requirements

Anonymized or de-identified data may be retained for legitimate business purposes.

9. Complaints and Oversight

This section modifies Section 14 (Data Privacy Officer) of Dentist Finder’s Terms by adding Ontario oversight requirements.

10. Conflict Between Dentist Finder’s Terms and the Ontario Schedule

If there is any conflict between Dentist Finder’s Terms and this Schedule with respect to PHI handled in Ontario, this Schedule prevails.

11. Amendment

We reserve the right in our sole discretion to revise and update this Schedule from time to time. Any and all such modifications are effective immediately upon posting and apply to all access to and continued use of Dentist Finder’s Services. You agree to periodically review this Schedule in order to be aware of any such modifications and your continued use shall be your acceptance of these.
